A scheme of arrangement was implemented on 6 February 2012 (Scheme). The effect of the implementation of the Scheme was that all of the assets and liabilities of RBS Group (Australia) Pty Limited (ABN 78 000 862 797, AFS Licence: 247013) (RBSGA) pertaining to its warrants and structured products (Warrants) business (RBSGA Warrants Business) transferred to RBS Alternative Investments (Australia) Pty Limited (ABN 85 154 251 671) (RBSAI). RBSAI is now the issuer of the Warrants. RBSAI does not have an AFS Licence and does not provide any financial product advice on this website. Before making a decision to acquire a Warrant you should obtain a product disclosure statement and read it. There is no cooling off regime in respect of the Warrants.
Further, the guarantees given by The Royal Bank of Scotland N.V. for the benefit of holders of Warrants (Holders) in respect of RBSGA’s obligations pertaining to the RBSGA Warrants Business have now been extinguished and replaced with new guarantees granted by RBS plc providing substantially the same rights for the benefit of Holders in respect of RBSAI’s corresponding obligations pertaining to the RBSGA Warrants Business.
Holders are not required to do anything in connection with implementation of the Scheme.
